These terms govern your use of brayde.co and any marketing services Brayde performs for you. By using the site or engaging our services, you agree to these terms.
Who we are
"Brayde," "we," and "us" refer to Brayde, a marketing agency offering local SEO, paid ads, web design, and AI implementation. "You" means the individual or company using the site or engaging our services.
Using the site
You may use brayde.co for lawful purposes only. You agree not to interfere with the site, attempt to gain unauthorized access, scrape at a rate that degrades performance, or use the site to violate any law or third-party right.
We may change, suspend, or discontinue any part of the site at any time without notice.
Services and engagement
Marketing services are performed under a separate written engagement (a proposal, statement of work, or master services agreement) that describes scope, deliverables, timeline, fees, and payment terms. If any part of this page conflicts with your signed engagement, the engagement controls.
You are responsible for the accuracy of information you provide to us, timely approvals, and any access credentials you grant to your marketing accounts.
Fees and payment
Fees, invoicing cadence, and payment terms are set out in your engagement. Invoices are due on the terms stated on the invoice. Overdue amounts may accrue interest and we may pause or suspend services until amounts owed are paid.
Third-party costs (for example, ad spend, hosting, software, or subscriptions) are your responsibility and are billed at cost unless the engagement says otherwise.
Results and performance
Search rankings, ad performance, conversion rates, and revenue depend on many factors outside our control, including competitor activity, changes to search engines and ad platforms, your market, and your operations. We work in good faith and use industry best practices, but we do not guarantee any specific ranking, traffic level, lead volume, or revenue outcome.
Intellectual property
Site content, including text, graphics, logos, and code on brayde.co, is owned by Brayde or its licensors and is protected by intellectual property laws. You may not copy, modify, or redistribute the site or its content without our permission.
Ownership of deliverables produced under a client engagement is set out in that engagement. Unless otherwise agreed, on full payment you receive a license to use the final deliverables for your business, and Brayde retains the right to use non-confidential learnings and portfolio references.
Third-party services
Our work often relies on third-party platforms (for example, Google, Meta, Microsoft Ads, hosting providers, and analytics tools). Your use of those platforms is governed by their terms and policies, and Brayde is not responsible for their availability, changes, or actions.
Confidentiality
Both parties agree to keep the other's non-public business information confidential and to use it only to perform or receive services. Confidentiality obligations survive termination of the engagement.
Disclaimers
The site and services are provided "as is" and "as available." To the fullest extent permitted by law, Brayde disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent permitted by law, Brayde will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the site or services. Brayde's aggregate liability for any claim will not exceed the fees paid to Brayde in the three months before the claim.
Indemnification
You agree to indemnify and hold Brayde harmless from claims arising out of your content, your products or services, your use of the site or services, or your violation of these terms.
Termination
You may stop using the site at any time. Client engagements are terminated according to the terms of your engagement. We may terminate or suspend access to the site if you violate these terms.
Changes to these terms
We may update these terms from time to time. The "last updated" date at the top reflects the most recent version. Continued use of the site after changes take effect means you accept the updated terms.
Governing law
These terms are governed by the laws of the United States and the state in which Brayde is organized, without regard to conflict-of-law rules. Any dispute will be resolved in the courts located in that state, unless your engagement specifies a different forum.
